WORK EXPERIENCE

ADVISORY

  • Has represented the foremost telecommunication companies in matters bordering on litigation, site acquisition, product registration, trademark registration, legal opinion, community relations, tax, equipment and service agreement and other consultancy work.

  • Part of the legal team that prepared and achieved the first Nigerian Company for dual listing on the main board of the London Stock Exchange and Nigerian Stock Exchange, now NGX.

  • Appointed by the Securities & Exchange Commission (SEC) as Chairman of the committee set up to review some legislation/bills, including the Investment and Securities Act (2007); the Nigerian Trade and Competition Commission Bill, the Federal Competition and Consumer Protection Bill, the Restrictive Trade Practices, Monopolies and Price Control Bill, and other laws/bills relating to Anti-trust and Competition in Nigeria. The work of the committee led to harmonisation of the different Bills and the passage and signing on 30th January 2019 by the President of the Federal Competition and Consumer Protection Act.

  • Headed the legal team of LAP/CPCS/Transcom that provided legal advisory services to the Bureau of Public Enterprises (BPE) under the World Bank project for the development of appropriate privatisation strategies for Power Holding Company of Nigeria (PHCN) successor companies during the privatization programme of the federal government from 2007 to 2009, including due diligence on the successor companies.

  • Mediated as Chairman of the panel of enquiry set up by the Federal Government on disputes arising out of a privatisation process and made recommendations to the Federal Government on the assessment of damages, which led to the satisfactory settlement of the dispute between the parties.

  • Acted as legal and transaction adviser to principal parties to a renowned Nigerian telecommunication company in its proposed acquisition and restoration of NITEL's SAT3/WASC cable system in 2008 - 2009. I also prepared the road map for establishing the Special Purpose Vehicle (SPV), a memorandum of understanding between the parties seeking to invest in the SPV and other transaction agreements.

  • Headed the consortium called Legal Advisory Partnership (LAP). The consortium won the international bid for the contract to provide Senior Legal Support to the Director-General of the Bureau of Public Enterprises (BPE) under the Department for International Development (DFID) funded project to review the privatisation procedure and recommend new procedures. The project also included transaction support with a call-down facility that allowed sourcing international experts where needed. It further provided for the review of BPE standard transaction documents. The project ended after four years and built internal capacity for BPE and the FGN. Many of the key players in the BPE economic reform ecosystem are products of this programme.

  • National Coordinator for Nigeria, World Bank Global Forum of Law, Justice and Development Project on Treatment of Shareholders' Rights in Insolvency of Companies.

  • Chaired the Technical Sub-Committee of the Securities and Exchange Commission (SEC) National Committee to review the Investment Securities Act 1999, which led to enacting the Investment and Securities Act 2007. Also, I chaired the SEC National Committee for the review of ISA 2007 and the drafting of the Investment and Securities Bill 2025, which is currently awaiting presidential approval.

  • Team leader for revising the Advertising Practitioners Council of Nigeria (APCON) Act and Code of Practice.

  • Team leader for revising Disciplinary Tribunal Rules of the Chartered Institute of Bankers of Nigeria (CIBN). These rules have been approved by the HAGF as required by the CIBN Act and have come into force.

  • Member of the Law Review Committee in Delta State revised and updated the Delta State laws (2007).

  • Advised the Institute of Directors and prepared the initial draft bill that eventually became the Chartered Institute of Directors Nigeria Act, signed by President Mohammadu Buhari on Friday, 26th May 2023.

  • Member of the Petroleum Revenue Special Task Force set up in 2012 with Mallam Nuhu Ribadu as chairman. The Task Force reviewed the operations of the oil and gas industry and made significant recommendations for reform, which are still being implemented.
